What happens when we transfer copyright to you?
Commissioned design – online or print, web or graphics –
In general terms, if we are commissioned to develop a design (artistic work), then we own copyright, but the client has permission to use the work as set out in the proposal, estimate, quote or contract. For this reason we think it is very important to have a clear agreement in place, stating exactly what rights the client will have to use the work, and what we will retain. For example, if we are commissioned to create a logo for use on stationery, we make sure that the agreement stipulates whether the client is entitled to use the logo for digital stationery as well as hard copy; and whether they are entitled to use it on websites etc.
When we assign copyright to the client, the agreement covers our right to use the work for self-promotion.
We make it very clear to clients that there are certain aspect of the job that we cannot assign copyright for. This always includes the font and in some cases the photography and illustration along with stock photos. We do not ever supply the final source files to the client, in any case, as part of our copyright assignment and this is set out very clearly in all of our terms and conditions. Likewise if we use a copyright free image/stock photo, we believe that we have the licence to use it because we purchased the CD or own the images. However the client does not have the right to have that image/stock photo on their machine because they did not purchase the licence. We understand that we are not able to ‘onsell’ the image rights to the client as stock photos are not transferrable.
Copyright length of term
The Australian laws on copyright have been amended recently but we understand that copyright on design is assigned for 50 years from date of publication.
So…. after all of that, here are OUR COPYRIGHT TERMS regarding commissioned design work.
your copyright information
By supplying text, images and other data to Jungle Design Studios for inclusion in the client’s website, graphic art or other medium, the client declares that it holds the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the client, or rightful copyright or trademark owner.
Usage rights of the final artwork only, as a whole, designed by Jungle Design Studios on behalf of the client will be transferred to the client upon final payment, unless otherwise specified by Jungle Design Studios – this does not include code or software. Copyright on all software and code remains the property of Jungle Design Studios or its otherwise respective owners.
Jungle Design Studios provides permission for the client to use supplied software and code for it’s intended purpose. No license for modification or re-use of said software or code is provided unless otherwise specified by Jungle Design Studios in writing.
Once final payment is received, usage and ownership will transfer to you ONLY for the purpose in which it was created and/or outlined in the project brief, contract or invoice. You do not have permission or copyright entitlements to use the artwork for any other purpose.
Jungle Design Studios does not assign copyright to fonts, illustrations, photos or stock images unless purchased and licensed by the client separately.
Jungle Design Studios does not assign copyright for any source or development files, nor will Jungle Design Studios supply or ‘hand over’ any source or development files. Jungle Design Studios retains copyright for their intellectual property in regards to source and development files.
Any discarded concepts and ideas remain the property of Jungle Design Studios and must not be used by the client under any circumstances unless purchased separately.
Jungle Design Studios may use all design material freely in the pursuit of promotional purposes.
Should Jungle Design Studios, or the client supply an image, text, audio clip or any other file for use in a website, multimedia presentation, print item, exhibition, advertisement or any other medium believing it to be copyright- and royalty-free, which subsequently emerges to have such copyright or royalty usage limitations, the client will agree to allow Jungle Design Studios to remove and/or replace the file on the site, and also agrees that Jungle Design Studios is not liable or responsible for copyright protected material.
The client agrees to fully indemnify and hold Jungle Design Studios free from harm in any and all claims resulting from the client in not having obtained all the required copyright, and/or any other necessary permissions.
No copies or reproductions of the website may be made without our written consent. In the event our consent is given, we reserve the right to charge a fee for their use.
